Terms of Service

1Application

These Terms apply to all use of the Service. Where JPSG and a User enter into a separate written service agreement, order form, or statement of work (a “Service Agreement”) covering the scope, plan, fees, or term of the services provided, that Service Agreement governs the commercial terms of the engagement, and these Terms govern use of the Service generally. If the two conflict on a matter the Service Agreement expressly addresses, the Service Agreement controls.

2The Service

JPSG provides business-support services that help overseas companies enter and operate in the Japanese market, including sales representation and account management (“Sales”) and supplier sourcing support (“Sourcing”). The Service includes this website and the client portal, through which clients under an active Service Agreement can review progress, reports, and invoices related to their engagement.

3Portal Accounts

The client portal is not open to public self-registration. JPSG issues portal credentials directly to a company that has entered into a Service Agreement with us, for use by that company’s authorized representatives. By using portal credentials issued to your company, you confirm that you are authorized by that company to do so.

JPSG may decline to issue, or may suspend, portal access if information provided to us is false or misleading, if the underlying Service Agreement has ended or is suspended, or for the reasons described in Article 8 below.

4Management of Credentials

You are responsible for maintaining the confidentiality of your portal login credentials and for all activity that occurs under them. You may not transfer, lend, or share your credentials with anyone not authorized to act on behalf of your company. We treat any login using valid credentials as an act of the company to which those credentials were issued.

You must notify us promptly at info@jpsg-remote.com if you suspect unauthorized use of your account. JPSG is not liable for damage arising from unauthorized use of an account by a third party, except where caused by JPSG’s intentional misconduct or gross negligence.

5Prohibited Acts

In using the Service, you must not:

• Violate any applicable law, regulation, or public order and morals
• Infringe the intellectual property, privacy, or other rights of JPSG or any third party
• Interfere with or disrupt the servers, networks, or normal operation of the Service
• Attempt to gain unauthorized access to the Service or any related system
• Collect or store personal information about other Users without authorization
• Use the Service for any fraudulent, deceptive, or otherwise improper purpose
• Impersonate another person or company, or misrepresent your affiliation with one
• Advertise, solicit, or conduct unrelated business activity through the Service without our prior written consent

6Service Fees, Payment, and Cancellation

Fees for Sales or Sourcing services are set out in the applicable Service Agreement or plan agreed with your company. Unless the Service Agreement states otherwise, there is no set-up fee. Billing cycle, payment method, and cancellation terms — including any notice period or minimum commitment — vary by plan and are governed by the applicable Service Agreement; please refer to that agreement for the specifics of your plan.

Recurring fees are invoiced in advance and success-based or usage-based fees (such as success fees or approved expenses) are invoiced or charged for the period in which they were incurred, in each case on the schedule and by the payment method set out in the Service Agreement. Late or non-payment may result in suspension of the Service under Article 7, in addition to any other remedy available to JPSG.

7Suspension of the Service

JPSG may suspend or interrupt all or part of the Service without prior notice where we reasonably determine that any of the following applies:

• Maintenance, inspection, or update of systems related to the Service
• Force majeure — including earthquake, fire, power outage, or other event beyond our reasonable control — makes it difficult to provide the Service
• A computer or communication line failure or accident outside our control
• JPSG otherwise reasonably determines suspension is necessary

JPSG is not liable for any disadvantage or damage a User incurs as a result of such suspension or interruption, except where caused by JPSG’s intentional misconduct or gross negligence.

8Restriction of Use and Termination

JPSG may restrict a User’s access to the Service, or terminate the associated portal account, without prior notice, if:

• The User breaches any provision of these Terms or the applicable Service Agreement
• Information provided to JPSG is found to be false
• The associated Service Agreement has ended, expired, or been terminated
• JPSG otherwise reasonably determines that continued access is inappropriate

JPSG is not liable for damage a User incurs as a result of action taken under this Article, except where caused by JPSG’s intentional misconduct or gross negligence.

9Disclaimer and Limitation of Liability

JPSG does not warrant that the Service will be uninterrupted, error-free, or fit for any particular purpose beyond what is expressly agreed in a Service Agreement. Except as set out in a Service Agreement, JPSG is not liable for damage arising from use of the Service, other than damage caused by JPSG’s intentional misconduct or gross negligence.

Where JPSG is liable for damage caused by its ordinary negligence, that liability is limited to the fees paid by the affected client under the relevant Service Agreement in the month in which the damage occurred, except where a mandatory law provides otherwise.

10Changes to the Service

JPSG may change or discontinue features of the Service, provided that any change affecting the scope of an active Service Agreement will be handled under the terms of that agreement. JPSG is not liable for damage a User incurs as a result of such a change, except as set out in the applicable Service Agreement.

11Changes to These Terms

JPSG may revise these Terms where reasonably necessary. Where a revision materially affects Users, we will provide notice by posting the updated Terms on this website or by direct communication. Continued use of the Service after a revision takes effect constitutes acceptance of the revised Terms.

12Personal Information

JPSG handles personal information obtained through the Service in accordance with our Privacy Policy.

13Notices

JPSG will send notices to the contact details on file for your account or Service Agreement. A notice is deemed received when sent to those details, whether or not it is actually read.

14No Assignment

A User may not assign, transfer, or pledge its rights or obligations under these Terms, or its status under a Service Agreement, to a third party without JPSG’s prior written consent.

15Governing Law and Jurisdiction

These Terms are governed by the laws of Japan. Any dispute arising in connection with the Service shall be subject to the exclusive agreed jurisdiction of the Osaka District Court.
